Securities to be Issued" (page 7) is supplemented by the following:
The Company has agreed to acquire, through a merger, the capital
stock of PSI Participation 4, Inc. ("PSI 4 Inc."), a California
corporation owned by Public Storage, Inc. PSI 4 Inc. owns the
participation interests in three properties located in Virginia Beach,
Virginia, Concord, California and San Mateo, California. The PSI 4
Inc. capital stock will be acquired in exchange for 204,834 shares of
the Company's Common Stock.
