The information contained in the Prospectus under "The Offering -
Securities to be Issued" (page 7) is supplemented by the following:
The Company has agreed to acquire, through a merger, the capital
stock of PSI Participation 3, Inc. ("PSI 3 Inc."), a California
corporation owned by Public Storage, Inc. ("PSI"). PSI 3 Inc. owns the
participation interests in three properties located in Melbourne (Palm
Bay), Florida, Gardena, California and Indianapolis, Indiana. The PSI 3
Inc. capital stock will be acquired in exchange for 82,715 shares of the
Company's Common Stock (the "Common Stock").
The Company has agreed to acquire, through a merger, the capital
stock of PSI Participation 5, Inc. ("PSI 5 Inc."), a California
corporation owned by PSI. PSI 5 Inc. owns the participation interests in
two properties located in East Palo Alto, California and San Francisco,
California. The PSI 5 Inc. capital stock will be acquired in exchange for
125,598 shares of Common Stock.
The Company has agreed to acquire, through a merger, the capital
stock of PSI/PSP6, Inc. ("PSP6 Inc."), a California corporation owned by
PSI. PSP6 Inc. owns the participation interests in two properties located
in Upland, California and Arlington, Virginia. The PSP6 Inc. capital
stock will be acquired in exchange for 75,536 shares of Common Stock.
