Rules and Regulations under the Securities Exchange Act of 1934.

thereto must be completed and filed with the Securities and Exchange
Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of the
General Rules and Regulations under the Act. The information contained in
or filed with the form will be made a matter of public record in the
Commission files.
3. A manually signed copy of the form and amendments thereto shall be filed
with each national securities exchange on which any class of securities
of the registrant is registered.

The Cerplex Group, Inc.

Part III. Narrative
The Cerplex Group, Inc. (the "Company"), formerly known as Aurora Electronics,
Inc., completed a significant acquisition on April 30, 1998 of The Cerplex
Group, Inc. (following which the Company changed its name from Aurora
Electronics, Inc. to The Cerplex Group, Inc.). Following the acquisition, the
Company (i) relocated its principal executive office from San Diego, California,
to Tustin, California, (ii) replaced several of its key accounting personnel,
and (iii) has had to integrate the Company's operations and accounting functions
with those of the acquired company. As a result, the Company cannot completely
finalize its financial statements for the fiscal year ended September 30, 1998
without unreasonable effort and expense in the prescribed time for filing the
Company's Annual Report on Form 10-K for such fiscal year. The Company is in the
process of finalizing such financial statements as promptly as possible and
intends to file its Annual Report on Form 10-K within the fifteen day extension
period required by this Form 12b-25 notice.
