(a) TMK was formerly the record owner of 1,380,000 shares of Vesta's
common stock (7.33%). TMK now owns no Vesta shares.
(b) TMK had sole voting and dispositive power over the Vesta shares it
held of record.

stock to Vesta in a private placement transaction.
