Rocker Partners, L.P., a New York limited partnership, and, through Rocker
Offshore Management Company, Inc., is the investment advisor to Compass
Holdings, Ltd., a corporation organized under the International Business
Companies Ordinances of the British Virgin Islands. David A. Rocker, in such
capacities, possesses voting and investment control over the shares of
Electromagnetic Sciences, Inc. common stock owned by each of Rocker Partners,
L.P. and Compass Holdings, Ltd. At all times during March 1996, David A.
Rocker's pecuniary interest in Rocker Partners, L.P. was 4.9% and his pecuniary
interest in Compass Holdings, Ltd. was 0.0%.
