Explanation of Responses:
(1) Mr. Porreca was elected as a Senior Vice President of the Registrant
effective January 27, 2000 and has acquired these shares during the fiscal year
under The Titan Corporation 401(k) Retirement Plan at prices ranging from $4.750
to $48.375 per share, in transactions exempt from Section 16(b). The information
is presented as of 12/31/99.
(2) Mr. Porreca was elected as a Senior Vice President of the Registrant
effective January 27, 2000, and was granted these stock options on February 17,
1999 with an exercise price as of the close of business on February 17, 1999.
The stock options are exercisable in increments of 25% beginning on the first
anniversary of the grant date and each year thereafter until the option is 100%
exercisable on February 17, 2004.
(3) Mr. Porreca was elected as a Senior Vice President of the Registrant
effective January 27, 2000, and was granted these stock options on August 12,
1999 with an exercise price as of the close of business on August 12, 1999. The
stock options are exercisable in increments of 25% beginning on the first
anniversary of the grant date and each year thereafter until the option is 100%
exercisable on August 12, 2004.
