REMOVAL OF SHARES FROM REGISTRATION
ENSERCH Corporation (Company) hereby amends the Registration
Statement on Form S-3, File No. 33-15623 (Registration
Statement), with respect to shares of Common Stock of the Company
to be used in connection with the conversion of the Company's 6 3/8
Convertible Subordinated Debentures due 2002, to withdraw from
registration all shares of the Common Stock of the Company
registered under the Registration Statement and remaining unused.
