NARRATIVE
In June, 1996, the Registrant completed the previously announced
sale of its manufacturing and distribution rights for a line of
emergency position indicating radio beacons, and related
equipment and inventory, to Northern Airborne Technology, Inc.
The negotiations and consummation of this transaction placed
extraordinary demands on the financial and administrative
personnel of the Registrant which prevented such personnel from
being able to complete in a timely fashion the preparation and
filing of the Registrant's Annual Report on Form 10-K for the
year ended March 31, 1996.
