ITEM 5. OTHER MATERIALLY IMPORTANT EVENTS.
The Board of Directors of F&M National Corporation, at its
latest meeting held May 8, 1996, authorized management to
purchase up to 150,000 shares of the Company's common stock
on the open market. While F&M's management has not yet
determined how many, if any, shares it may purchase subject
to this authorization, it is anticipated that any repurchased
shares will be used primarily for general corporate purposes,
including the funding of employee benefit plans.
