REMOVAL FROM REGISTRATION OF SECURITIES
This Post-Effective Amendment No. 3 is filed to remove from
registration of 278,469 shares of Common Stock of the Registrant
which were offered pursuant a Dividend Reinvestment and Stock
Purchase Plan.
At the effective date of this transaction, the Registrant had
issued 424,772 shares of the 703,241 shares of its Common Stock
which had been registered under Form S-3 as Registration
Statement No. 2-94877 on November 7, 1984.
