The Company requires additional time to complete the various
disclosures for this report, including specifically disclosures
related to the offer recently received to purchase substantially
all of its assets as disclosed in a recently filed Form 8-K, and
management's anticipated course of action in response thereto.

For the first quarter of fiscal 1997, the Company reported a net
loss of $4,155.  For the first quarter of fiscal 1998, the
Company expects to report net income in the moderate to medium
five figure range.
