Dear Sirs:
Enclosed please find Form 12b-25 Notification of Late Filing by Golden Oil
Company (the "Company") of its Quarterly Report on Form 10-Q for the quarter
ended June 30, 1998. Additional clarification and update is required from the
Company's independant accounting firm, Coopers & Lybrand, Houston, Texas,
regarding certain financial statements and financial disclosures. To analyze,
and characterize all the necessary information to meet the August 14, 1998
deadline would result in unreasonable effort and expense in completion of the
Company's financial statements and notes therto, and still might not provide
information needed by the Company to properly characterize that matters as of
the date hereof.
