EXPLANATION OF RESPONSES:
* Republic expressly disclaims beneficial ownership of the 15,000,000
Common Shares issuable upon exercise of the Warrant (as defined below).
** On July 1, 1996, Republic Industries, inc. ("Republic"), was issued a
warrant to purchase 15,000,000 Common Shares of ADT Limited ("ADT") at an
exercise price of $20 per share, subject to adjustment (the "Warrant").
ADT granted the Warrant to Republic in order to induce Republic to enter
into the Agreement and Plan of Amalgamation (the "Amalgamation Agreement")
dated as of July 1, 1996 between and among Republic, R.I./TRIANGLE, LTD.
and ADT. The Warrant will become exercisable for a six-month period
commencing upon termination of the Amalgamation Agreement in accordance
with its terms.
