                     TO PROSPECTUS DATED SEPTEMBER 22, 1995
             AS SUPPLEMENTED BY SUPPLEMENT DATED FEBRUARY 13, 1996


       On May 10, 1996, the Company's Board of Directors approved a two-for-one
stock split (the "Stock Split") relating to the Common Stock for stockholders of
record on May 28, 1996. The Stock Split was effected by means of a 100% stock
dividend distributed on June 8, 1996. Quotations on Nasdaq relating to the
Common Stock began reflecting the Stock Split on June 10, 1996. Purchasers of
Common Stock pursuant to this Prospectus are advised to take into account the
effect of the Stock Split upon certain information presented in this Prospectus,
including without limitation, the effect of the Stock Split on number of shares
and per share information contained herein.

       In order to reflect adjustment for the Stock Split, as well as certain
transfers and sales of Common Stock by certain Selling Stockholders, the table
of Selling Stockholders in the Selling Stockholders Section of the Prospectus is
hereby deleted and replaced in its entirety by the following table, which
contains information as of June 11, 1996:

      Foundation, Inc., a Florida not-for-profit corporation, and may be deemed
      to beneficially own the shares of Common Stock held by such entity.
(3)   Leon Brauser, Michael Brauser and Robert Brauser served as officers of
      Kertz Security Systems, Inc. and/or Kertz Security Systems II, Inc.
      (together "Kertz") for more than three years prior to the Company's
      acquisition of Kertz on August 28, 1995.  Since August 28, 1995, Michael
      Brauser has served as Senior Vice President of Kertz, a subsidiary of the
      Company.
