of certain Combination Warrants, and (iv) vested options to purchase
1,000,000 and 500,000 shares of Common Stock granted under the Company's
1991 Stock Option Plan and 1995 Stock Option Plan, respectively.
Mr. Huizenga disclaims beneficial ownership of the shares owned by his
wife.
(10) Includes 8,000,000 shares that may be issued upon exercise of certain of
the Combination Warrants.
(11) Mrs. Huizenga is the wife of H. Wayne Huizenga, and she disclaims
beneficial ownership of any shares of Common Stock owned by her husband.
(12) John J. Melk is the general partner of JJM Republic Limited Partnership, a
Delaware limited partnership and may be deemed to beneficially own the
shares of Common Stock held by such entity.
(13) John J. Melk's wife is the general partner of JLM Republic Limited
Partnership, a Delaware limited partnership. Mr. Melk disclaims
beneficial ownership of the shares held by JLM Republic Limited
Partnership.
(14) Mary Anne Stephens-Shula is the general partner of Mass Investments, an
Arkansas limited partnership and may be deemed to beneficially own the
shares of Common Stock held by such entity.
(15) Mr. Melk has served as a Director of the Company since August 3, 1995.
(16) The aggregate amount of Common Stock beneficially owned by Mr. Melk
consists of (i) 800,001 shares of Common Stock owned by JJM Republic
Limited Partnership, of which Mr. Melk is the general partner,
(ii) 799,999 shares of Common Stock owned by JLM Republic Limited
Partnership, of which Mr. Melk's wife is the general partner,
(iii) 200,000 shares that may be issued upon exercise of certain of the
Combination Warrants, (iv) vested options to purchase 60,000 shares of
Common Stock granted under the Company's 1995 Amended and Restated
Non-Employee Stock Option Plan, and (v) 60,000 shares owned by his wife.
Mr. Melk disclaims beneficial ownership of the 799,999 shares owned by
JLM Republic Limited Partnership and the 60,000 shares owned by his wife.
(17) Donald F. Shula is the general partner of Shula Family Partnership, a
Florida general partnership and may be deemed to beneficially own the
shares of Common Stock held by such entity.
