(1) Transferred by Berrard Holdings Limited Partnership to irrevocable trust
for the benefit of the Reporting Person's daughter.
(2) Indirect by Berrard Holdings Limited Partnership, of which the sole
general partner is Berrard Holdings, Inc., and the sole limited partner is the
Reporting Person. The Reporting Person is the sole shareholder of Berrard
Holdings, Inc.
