Part_III_-_Narrative
Helm Resources, Inc (the "Company") is unable to file its annual
report on Form 10-KSB for the year ended December 31, 1995 within the
period prescribed by the regulations under the Securities Exchange
Act of 1934. A delay in obtaining waivers from lenders of the
Company's subsidiaries has resulted in a delay in the completion of
the Company's annual financial statements and the issuance of the
auditor's report.
