a) Shares issued upon exercise of stock options. Quest has
issued 71,808 shares of its Common Stock from time to time
since May 23, 1994 (the date of the last Form 10-C filing).
b) Quest issued 833,333 shares of its Common Stock in
connection with its acquisition of Neuromed, Inc. on March
31, 1995. The shares were issued from Quest's treasury
shares.
