Gentlemen:
Pursuant to Rule 477(a) under the Securities Act of 1933, the undersigned
hereby requests on behalf of Smith Barney Shearson Fundamental Value Fund Inc.
(the "Registrant") that the Commission permit the Registrant to withdraw prior
to effectiveness Post-Effective Amendment No. 20 to its Registration Statement
on Form N-1A (the "Amendment") which was filed with the Commission via EDGAR
on May 3, 1994 (Accession No. 0000053978-94-000225). The Amendment will go
effective by its terms on July 1, 1994.
The Amendment was filed for the purpose of effecting a proposed
reincorporation of the Fund in the State of Maryland. However, the Registrant
was unable to obtain necessary shareholder approval of the proposed
reincorporation and has determined that it is in its best interest to suspend
the solicitation of its shareholders at this time. Accordingly, the
information pertaining to the reincorporation contained in the Amendment is no
longer accurate and the Registrant desires to withdraw the Amendment.
