proxy materials is $3,148,047,091 (calculated based on the number
of shares of Santa Fe Pacific Corporation common stock
outstanding as of October 19, 1994, the average of the high and
low reported prices of Burlington Northern Inc. common stock on
October 21, 1994 and the exchange ratio of 0.34). The filing fee
is one-fiftieth of that amount.

BURLINGTON NORTHERN RESCHEDULES SPECIAL SHAREHOLDERS MEETING
FORT WORTH, Texas, November 30, 1994 -- Burlington Northern Inc. (BN)
today announced it has rescheduled its special shareholders meeting at which
shareholders will vote on the proposed merger between BN and Santa Fe Pacific
Corporation (Santa Fe). The meeting is now scheduled for Friday, December 16,
1994, at 10:00 a.m. (CST) at 3017 Lou Menk Drive, Fort Worth.
Previously, the meeting had been rescheduled for Friday, December 2.
The record date for the meeting remains October 19, 1994.
"In view of the fact that Santa Fe yesterday announced postponement
of its special shareholders meeting until December 16 to evaluate recent
developments that could affect the company, BN thought it appropriate to do
the same," said Gerald Grinstein, chairman and chief executive officer.
