Part IV(3)- For fiscal 1997, the Registrant experienced a
signficant decrease in sales and an increase in general and adminstrative
expenses along with valuation adjustments for certain of the Registrant's
assets as compared with fiscal 1996.
The Registrant expects to report a net loss of from $900,000 to
$950,000 for fiscal 1997 as compared with net income of $442,000 for
fiscal 1996.
