     State below in reasonable detail the reasons why the Form 10-K,
     11-K, 10-Q, N-SAR, or the transition report or portion thereof,
     could not be filed within the prescribed time period.  
     
          In March of 1998 Advanced Oxygen Technologies, Inc. purchased
     certain assets of Integrated Marketing Agency, Inc. (as annotated
     in SEC 8-K Filing of March 12, 1998.) The Company began new
     operations March 9, 1998. The Company had been dormant for the
     previous two years.  The Company's fiscal year ended June 30,
     1998, making it an unreasonable burden and expense to prepare its
     Annual Report on Form 10-KSB by September 28, 1998 deadline. The
     Company intends to file its Annual Report on Form 10-KSB by no
     later than October 13, 1998.

          During the year ended June 30, 1998, the Company
     significantly changed the nature of its business activities from a
     dormant company to an operating sales/production company. Due to
     this change the Company anticipates there will be a  significant
     change in results of operations from the year ended June 30, 1998.
     The Company expects a loss for the year ended June 30, 1998 of
     approximately $4,505.00 compared with a loss of $30,006.00 for the
     year ended June 30, 1997. The difference was primarily due to the
     fact that the Company was dormant for a majority of the year and
     began new operations in March of 1998.
