     The  Company's  principal  assets (oil and gas  producing  properties)  are
operated by a third party.  The Company did not receive  operating and cash flow
information  from the operator in sufficient time to allow for completion of its
interim financial  statements and filing of quarterly report on Form 10-QSB in a
timely manner.

                             FORM 12b-25 - PART IV

     Increased  activity in the Company,  including the planned  acquisitions of
producing  oil and gas  properties,  has  resulted in an increase in general and
administrative expenses.  Additionally,  the Company incurred expenses necessary
to improve  operating  results on a property  acquired during the current fiscal
year. As a result,  it is anticipated  that  operations for the current  interim
period  (six  months  ended  November  30,  1999)  will  result  in  a  loss  of
approximately  $80,000,  as compared to a loss of $20,887 for the same period of
the prior year.
