Item 1. Description of Registrant's Securities to be Registered
The Registrant's current Class A common stock (par value $.001) were previously
registered with the Commission prior to being denominated as Class A common
shares under Section 12(g) by virtue of a Form 10 filed by Alpha Energy & Gold,
Ltd. in September, 1981, prior to the Registrant having merged with Alpha
Energy & Gold, Ltd.
The Class A common shares vote on single vote per share basis (1:1). The Class
A shares would receive a dividend should the Registrant declare such dividend
available to be paid on the same basis as would its Class B shares.
The Registrant's Class B common stock (par value $.001) is the subject of the
recently filed Form 10-SB. The Class B common shares vote on a 100 shares per
single vote basis (100:1). The Class B common shares carry all the same rights
and privileges as the Class A in every other respect.
Both the Class A common stock and the Class B common stock have been approved
for listing on the Philadelphia Stock Exchange, such approval constituting the
basis for this Form 8-A filing for the Company's Class A shares and the Form
10-SB filing for the Company's Class B shares.
