     THE REGISTRANT AND THE AQUIRING FUND, DAVIS SELECTED ADVISERS, INC. AND
     EVERGREEN INVESTMENT MANAGEMENT COMPANY, PUSUANT TO A WRITTEN AGREEMENT.
