ITEM 9. SALES OF EQUITY SECURITIES PURSUANT TO REGULATION S
On March 21, 1997, an optionee exercised certain stock options covering 2,000
shares of Primark Corporation common stock, at a weighted average exercise price
per share of $12.88. On March 26, 1997, another optionee exercised certain stock
options covering 8,500 shares of Primark Corporation common stock, at a weighted
average exercise price per share of $14.16. These options were issued under the
Primark Corporation Executive Share Option Scheme. The issuance of such shares
was made without registration under the Securities Act of 1933 (the "Act") in
reliance upon Regulation S of such Act.
