Insert on page 36 of the Prospectus amending disclosure
regarding the day-to-day manager for the Maxim INVESCO
Small-Cap Growth Portfolio.
The day-to-day manager of the Maxim INVESCO Small-
Cap Growth Portfolio is John Schroer, who also serves as
portfolio manager for the INVESCO Emerging Growth Fund,
Inc. and as co-portfolio manager of the Health Sciences
Portfolio of INVESCO Strategic Portfolios, Inc. Mr. Schroer is
Vice President (since 1995) and Portfolio Manager (since 1993
to present) of ITC. Formerly, Mr. Schroer was Assistant Vice
President with Trust Company of the West (1990 - 1993). Mr.
Schroer began his investment career in 1990 and received a
B.S. and M.B.A. from the University of Wisconsin -
Madison.
