Andrew Offit is the vice president of VIP: Equity-Income Portfolio which he
has managed since March 1996. Mr. Offit also manages Fidelity Canada Asset
Manager. He managed Fidelity Convertible Securities Fund from 1992 to
February 1995. Mr. Offit joined Fidelity in 1987 as a research analyst for
the hospital supply, medical, technology, drug distribution and retail drug
sectors. He subsequently managed the Fidelity Select Biotechnology and
Fidelity Select Health Care Portfolios. He was also an assistant for
Fidelity Growth & Income Fund and Fidelity Magellan Fund.

and Fidelity International Value Fund. Previously, he managed the Fidelity

Michael S. Gray, Richard C. Habermann and George Vanderheiden are managers
of VIPII: Asset Manager Portfolio and Asset Manager: Growth Portfolio.
Mr. Gray is vice president of VIPII: Asset Manager Portfolio and Asset
Manager: Growth Portfolio and manger of the funds' fixed-income investments
since March 1996. He co-manages Fidelity Balanced Fund, Fidelity Puritan
Fund, Fidelity Asset Manager, Fidelity Asset Manager: Growth and Fidelity
Asset Manager: Income. He also manages Fidelity Investment Grade Bond Fund
and Spartan Investment Grade Bond Fund. Previously he managed Fidelity
Advisor Limited Term Bond Fund, Fidelity Mortgage Securities Fund, Fidelity
Ginnie Mae Fund, Fidelity Government Securities Fund and Fidelity
Intermediate Bond Fund. Mr. Gray joined Fidelity in 1982.
Mr. Habermann is vice president and lead manger of VIPII: Asset Manager
Portfolio and Asset Manager: Growth Portfolio, which he has managed since
March 1996. He co-manages Fidelity Asset Manager, Fidelity Asset Manager:
Growth and Fidelity Asset Manager: Income. Mr. Habermann is the division
head for international equities and director of international research for
the company. He joined Fidelity in 1968.
Mr Vanderheiden is vice president of VIPII: Asset Manager Portfolio and
Asset Manager: Growth Portfolio and manager of the funds' equity
investments since March 1996. He co-manages Fidelity Asset Manager,
Fidelity Asset Manager: Growth and Fidelity Asset Manager: Income. He also
manages Fidelity Destiny I and II and Fidelity Advisor Growth Opportunities
Fund. Mr. Vanderheiden serves as leader of the growth funds group and
joined Fidelity in 1971.
