      Please be advised that Roger A. Early resigned from his position
      as a co-portfolio manager of Federated Intermediate Government
      Trust on July 15, 1994.  Accordingly, please delete the last
      paragraph, referring to Mr. Early, under the subsection entitled
      "Adviser's Background" on page 5 of the Prospectuses.  In
      addition, please note that Susan M. Nason remains as the Fund's
      portfolio manager.
