To the section entitled Advisor's Background, which begins on page 6, please
add the following as the fifth paragraph:
"Timothy E. Keefe has been the Trust's co-portfolio manager since June 1,
1995. Mr. Keefe joined Federated Investors in 1987 and has been an
Assistant Vice President of the Trust's investment adviser since 1993. Mr.
Keefe served as an Investment Analyst of the investment adviser from 1991
until 1993, and from 1987 until 1991 he acted as a Marketing Representative
in the Broker Dealer Department. Mr. Keefe is a Chartered Financial Analyst
and received his M.B.A. in Business Administration from the University of
Pittsburgh."
