Item 5. Other Events
On May 30, 1997, a 3-for-2 stock split, effected in
the form of a 50 percent stock dividend, was
distributed to shareholders of record May 9, 1997.
Accordingly, a proportionate increase is made to the
1,500,000 shares of Common Stock related to the
Shareholders Investment Plan that are covered by the
Registration Statement (No. 33-65378) on Form S-3 as
filed with the Securities and Exchange Commission on
July 2, 1993.
