(2) These securities were distributed pro rata by New River Capital Partners,
L.P. to each of its partners on April 12, 2000. New River's partners then
redistributed the securities to their respective partners and owners such
that Mr. Berrard is no longer deemed to beneficially own such shares except
as described herein.
(3) Mr. Berrard disclaims beneficial ownership of these securities except to
the extent of any pecuniary interest.
(4) These shares are owned of record by New River Capital Partners, L.P., an
entity controlled by Mr. Berrard through other entities.
(5) Mr. Berrard is signing this form individually and in his capacity as the
sole shareholder and an authorized officer of SRB Investments, Inc. which
is the managing general partner of B&B Management Partners, L.P., which is
the sole general partner of New River Capital Partners, L.P.
(6) These securities were acquired in a distribution from B&B Management
Partners, L.P., which had acquired the securities in the distribution by
New River, described in note (2), above.
(7) These shares are owned of record by SRB Investments, an entity controlled
by Mr. Berrard.
