Interest.
The interest rate applicable to each daily Interest Reset Period
will equal the Federal Funds Rate (as defined below) plus the
Spread set forth on the cover page of this Pricing Supplement.
Interest will be payable quarterly on November 1, February 1, May
1 and August 1 of each year, commencing on November 1, 1994 and
ending on the Maturity Date (each, an "Interest Payment Date").
The interest rate on the Notes will reset daily on each Business
Day during an Interest Payment Period with respect to the
applicable Interest Payment Date (each, an "Interest Reset Date").
The interest rate applicable to each Interest Reset Date will be
determined two Business Day prior to each Interest Reset Date
(each, an "Interest Determination Date"). Interest payments on the
Notes will equal the amount of interest accrued from and including
the next preceding Interest Payment Date in respect of which
interest has been paid (or from and including the Original Issue
Date, if no interest has been paid with respect to the Notes) to
but excluding the related Interest Payment Date.

Federal Funds Rate is provided under the caption "DESCRIPTION OF
NOTES--Interest and Interest Rate--Floating Rate Notes--Federal
Funds Rate Notes" in the accompanying Prospectus Supplement.

UBS Limited shall act as Calculation Agent with respect to the
Notes.
Plan of Distribution:
The Notes are being purchased by UBS Limited as principal
(hereinafter referred to as the "Underwriter") at the Issue Price
of 100% less an underwriting discount of .0550%. The Company has
agreed to indemnify the Underwriter against and contribute toward
certain liabilities, including liability under the Securities Act
of 1933, as amended.
