Interest
The interest rate applicable to each Interest Reset Period will equal
the Treasury Rate plus the Spread set forth on the cover page of this
Pricing Supplement. Interest will be payable quarterly on the 24th day
of August, November, February and May of each year up to and including
the Maturity Date (each, an "Interest Payment Date"), commencing August
24, 1994. The interest rate on the Notes will reset weekly on each
Tuesday except as specified below (each, an "Interest Reset Date"). The
Interest Determination Date with respect to an Interest Reset Date will
be the day in the week in which the related Interest Reset Date falls on
which day Treasury Bills (as defined in the Prospectus Supplement) are
normally auctioned (Treasury Bills are normally sold at auction on
Monday of each week, unless that day is a legal holiday, in which case
the auction is normally held on the following Tuesday, except that such
auction may be held on the preceding Friday); provided however, that if
an auction is held on the Friday of the week preceding the related
Interest Reset Date, the related Interest Determination Date will be
such preceding Friday; and provided further, that if an auction falls on
any Interest Reset Date, then the related Interest Reset Date will
instead be the Business Day following such auction.

to the Notes.
