ITEM 5. OTHER EVENTS
On November 24, 1997, the Delaware Court of Chancery held a hearing on
plaintiffs' motion for expedited proceedings in the consolidated class actions
challenging the Hughes Transactions, In re General Motors Class H Shareholders
Litigation, Civil Action No. 15517. The court denied plaintiffs' request for
expedited discovery and for the scheduling of a hearing on a motion for a
preliminary injunction.
