GPU and EI hereby amend their Application on Form U-1,
docketed in SEC File No. 70-8315, as heretofore amended, as
follows:
1. By amending the first sentence of paragraph C.1.
of Item 1 thereof to read in its entirety as follows:
C.1. EI will acquire its limited partnership
interest for an amount not to exceed U.S. $11.5
million, and expects to enter into an equity
contribution or similar agreement with the Partnership
evidencing that obligation. Accordingly, in addition
to the guarantees described below, GPU proposes to make
cash capital contributions to EI from time to time in
an amount up to U.S. $11.5 million to enable EI to
acquire such limited partnership interest.
