in SEC File No. 70-8569, by amending the first sentence of Item 5
thereof to read in its entirety as follows:
GPU requests that the Commission issue an
order with respect to the solicitation of
proxies as soon as practicable and further
requests that the Commission issue an order
with respect to the other transactions which
are the subject of the Declaration at the
earliest practicable date but in any event
