The undersigned, General Public Utilities Corporation
("GPU"), hereby certifies pursuant to Rule 24 of the General
Rules and Regulations under the Public Utility Holding Company
Act of 1935 (the "Act") that certain of the transactions proposed
in the Declaration, as amended, filed in SEC File No. 70-7933
have been carried out in accordance with the terms and conditions
of, and for the purposes requested in, said Declaration and
pursuant to the Commission's Order, dated March 6, 1992 (HCAR No.
25486), with respect thereto as follows:
1. On June 14, 1995, GPU made cash capital
contributions to its three electric operating subsidiaries -
Jersey Central Power & Light Company ("JCP&L"), Metropolitan
Edison Company ("Met-Ed") and Pennsylvania Electric Company
("Penelec") in the following amounts:
JCP&L - $15,000,000
Met-Ed - 10,000,000
Penelec - 5,000,000
Total $30,000,000<PAGE>
2. In turn, JCP&L, Met-Ed and Penelec each used such
cash capital contributions to repay short-term bank borrowings.
3. To date, GPU has made cash capital contributions
to its subsidiaries as follows:
JCP&L - $15,000,000
Met-Ed - 60,000,000
Penelec - 5,000,000
