                      The Company issued and sold the Bonds to J. P. Morgan
                      Securities Inc., as the Purchaser pursuant to
                      Purchase Contract effective May 17, 1995.

          Item 9.     Collateral given with each security, if any.

                      The Company's First Mortgage Bonds are entitled to
                      the benefit of a first lien on substantially all
                      assets of the Company.

          Item 10.    Consideration received for each security.

                      $74,353,458.33 (98.646% of the principal amount plus
                      accrued interest in the amount of $368,958.33).

          Item 11.    Application of proceeds of each security.

                      The proceeds from the sale of the Bonds will be used
                      by the Company to repay a portion of its outstanding
                      short-term debt which aggregated approximately
                      $411,000,000 as of May 16, 1995.

          Item 12.    Indicate by a check after the applicable statement
                      below whether the issue, renewal or guaranty of each
                      security was exempt from the provisions of Section
                      6(a) because of: 

                      a.    the provisions contained in the first sentence
