Registrant has encountered delays in completing its Quarterly Report on Form 10-Q for the quarter ended
September 30, 1999, because the personnel primarily responsible for preparing Registrant's Quarterly Report on
Form 10-Q were unable to complete the Quarterly Report on Form 10-Q by November 14, 1999, because such
personnel had to devote a significant amount of time in connection with obtaining documentation and
information from Hong Kong and in transferring accounting and reporting from Hong Kong and Canada to the
United States.

loss for the quarter ended September 30, 1998 of $321,257. For the nine months ended September 30, 1999, the
net loss is approximately $716,993 compared to a net loss of $825,204 for the comparable period of 1998.
