Pursuant to its undertaking contained in Item 9 of the
Registration Statement, the undersigned Registrant hereby removes
from registration under the Registration Statement 118,764 shares
of its Common Stock, $.10 par value per share, which remained
undistributed upon completion of the distribution of all shares
issuable under the Global Marine Inc. 1993 Management Incentive
Award Plan.
Pursuant to the requirements of the Securities Act of 1933,
and pursuant to Rule 478 of the general rules and regulations under
said Act, the Registrant has duly caused this Post-Effective
Amendment to the Registration Statement to be signed on its behalf
by the undersigned, thereunto duly authorized, in the City of
Houston and State of Texas, on the 14th day of March 1994.
