                             GENERAL INSTRUCTIONS

1.  This form is required by Rule 12b-25 (17 CFR 240.12b-25) of the General
    Rules and Regulations under the Securities Exchange Act of 1934.

2.  One signed original and four conformed copies of this form and amendments
    thereto must be completed and filed with the Securities and Exchange
    Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of the
    General Rules and Regulations under the Act. The information contained in or
    filed with the form will be made a matter of public record in the Commission
    files.

3.  A manually signed copy of the form and amendments thereto shall be filed
    with each national securities exchange on which any class of securities of
    the registrant is registered.

4.  Amendments to the notifications must also be filed on form 12b-25 but need
    not restate information that has been correctly furnished.  The form shall

     On February 1, 2000, three days after the fiscal year ending date of
     January 29, 2000, the Board of Directors of JG Industries, Inc. (the
     "Company") decided to liquidate the Company and cease operations. On
     February 2, 2000, the Company closed all of its stores, entered into an
     agreement to sell seven of its eight department store locations, and began
     liquidating all of its inventory and operating assets. All of the Company's
     store employees were terminated as of April 1, 2000 and the Company
     currently has only 10 full-time employees of which only one has the
     knowledge and skills necessary for the preparation of the financial
     statements required in a Report on Form 10-Q (the "Financial Statements").
     The Company was dissolved on June 7, 2000. The Company currently has no
     operating assets with which it can conduct business operations. Due to the
     cessation of the Company's operations and limited financial resources,
     Management has been unable to retain employees with skills and knowledge
     needed to prepare the Financial Statements in a timely manner. The Company
     filed an Information Statement on Schedule 14C on March 10, 2000 relating
     to the sale of substantially all of the Company's assets and the
     liquidation and dissolution of the Company. The Company filed on April 26,
     2000 a Report on Form 8-K disclosing the consummation of the sale of
     substantially all of the Company's assets. Additionally, the Company's
     Report on Form 10-K contained disclosure regarding the liquidation of the
     Company. The Company will file on or before the fifth calendar day
     following the prescribed due date the Report on Form 10-Q containing
     financial statements prepared on a liquidation basis.
