        This Amendment No. 1 to the Tender Offer Statement on Schedule TO
(the "Schedule TO"), filed initially with the Securities and Exchange
Commission on April 18, 2000, relates to the third-party tender offer by
HMI Acquisition Corp. (the "Purchaser"), a Delaware corporation and a
wholly owned subsidiary of Alcoa Inc., a Pennsylvania corporation, to
purchase all of the shares of common stock, par value $0.01 per share, of
Howmet International Inc., a Delaware corporation, at a price fo $20.00 per
Share, net to the seller in cash, without interest thereon, upon the terms
and subject to the conditions set forth in the Offer to Purchase, dated
April 18, 2000 (the "Offer to Purchase"), and in the related Letter of
Transmittal (which, together with all amendments or supplements thereto,
collectively constitute the "Offer").

ITEM 11.ADDITIONAL INFORMATION.

        Item 11 is hereby amended and supplemented by amending and
restating the first clause of the second sentence of "Section 15.
Conditions of the Offer" of the Offer to Purchase as follows:

        "Furthermore, notwithstanding any other term or provision of the
        Offer, the Purchaser will not be required to accept for payment or,
        subject as aforesaid, to pay for any Shares not theretofore
        accepted for payment or paid for, and may terminate or amend the
        Offer if, in the reasonable judgment of the Purchaser, immediately
        prior to the Expiration Date any of the following events or facts
        shall have occurred:"
