Give brief description of transaction:
On April 18, 1996, the Issuer consummated a share exchange and
related transactions (collectively, the "Share Exchange") pursuant
to an Agreement and Plan of Reorganization dated as of January 23, 1996
among the Issuer, Spire Technologies, Inc. ("Spire"), Spire Technologies
Systems Division, Inc. ("Spire Systems" and, collectively with Spire, the
"Spire Companies"), and the holders of all the capital stock of the Spire
Companies (the "Spire Stockholders"). As part of the consummation of the
Share Exchange, the Issuer (a) acquired all of the issued and outstanding
shares of the capital stock of Spire and Spire Systems in exchange for
the issuance by the Issuer of an aggregate of 3,501,883 shares of the
common stock, par value $0.25 per share, of the Issuer (the "Common
Stock"), to the Spire Stockholders; (b) the Issuer effected a
one-for-seven reverse split of the shares of Common Stock issued and
outstanding at the effective time of the Share Exchange; and (c) the
Issuer amended its Articles of Incorporation to change the Issuer's name
to "Spire International Corp."
