INTRODUCTION
This Amendment No. 3 to the Rule 13e-3 Transaction Statement (this
"Statement") made by Sumner M. Redstone, individually, National Amusements,
Inc., a Maryland corporation, Viacom Inc., a Delaware corporation ("Viacom"),
and Paramount Communications Inc., a Delaware corporation (the "Issuer"), is
being filed to amend and restate in its entirety Item 15 of Amendment No. 2 to
the Rule 13e-3 Transaction Statement filed by such parties with the Securities
and Exchange Commission on June 6, 1994.
