Explanation of Responses:
(1) Represents the number of shares with respect to which the reporting person
has voting rights based on his vested balance at September 30,
1995, under the American Business Products, Inc. Profit Sharing Retirement
Trust, a plan operating on old Rule 16a-8(g)(3).
(2) Grant of option to buy 2,000 shares of Common Stock under the 1991 Stock
Incentive Plan. The option becomes exercisable in 25% increments
annually beginning December 10, 1998 through December 10,
2001.
