Explanation of Responses:

These shares were acquired from July 1, 2000 through September 30, 2000 pursuant
to the Hershey Foods Corporation Employee Savings, Stock Investment and
Ownership Plan (ESSIOP). These shares were purchased at various intervals, and
the closing price on September 29, 2000 was $54.125. The exact price of each
share at date of acquisition is not readily determinable.

Transaction is reflected as disposition due solely to the fact that the
reporting person no longer has a reportable beneficial interest in 226 shares of
Hershey Foods common stock owned by his son and included in the reporting
person's prior ownership reports.
