(01) Represents stock share equivalents in the Houghton Stock Fund ("HSF") option in the Houghton Mifflin 401(k) Savings Plan
("401(k) Plan"). The HSF is a unitized company stock fund consisting of cash and shares of the Company's commo
n stock. Each participant's HSF account balance represents approximately the same ownership of equity as if invested
directly in the Company's common stock. Common stock share equivalents are approximated by dividing the account
balances on any given day by that day's NYSE closing price. Includes shares acquired through March 31, 1997.
