(whether or not a Business Day) prior to each Interest
Payment Date or the Stated Maturity, as the case may be.
Index Maturity: Two (2) years
Interest Reset Date: Quarterly on the 18th day of January, April,
July and October.
Interest Determination Date: On the second New York Business Day
prior to each Interest Reset Date.

SPECIAL PROVISIONS
The Base Rate will be the "Constant Maturity Treasury
Rate" with an Index Maturity of two (2) years (the "Two Year CMT
Rate") as set forth on Telerate Page 7051 for such date on the
Interest Determination Date. In the event the Two Year CMT Rate is
not published or reported on Telerate, the Calculation Agent shall
determine the Two Year CMT Rate by reference to the rate for such
date in the next H.15(519) published immediately following the
Determination Date.
If the Two Year CMT Rate for any Interest Determination
Date is less than or equal to 7.25%, the interest rate for the
period from the Interest Reset Date to, but excluding, the
following Interest Payment Date shall be the Two Year CMT Rate,
less .40% (40 basis points).
If the Two Year CMT Rate for any Interest Determination
Date is greater than 7.25%, the interest rate for the period from
the Interest Reset Date to, but excluding, the following Interest
Payment Date shall be 14.10%, less the Two Year CMT Rate.
The Initial Interest Rate will be established on or about
April 14, 1994 by referring to the Two Year CMT Rate that appears
for that date on Telerate Page 7051.
