Prospectus dated September 3, 1998 (Registration Statement No.
333-60543) in connection with the offering of $1,000,000,000
6 1/2% Notes due November 15, 2008. Exhibit 8 of this Form 8-K
is a legal opinion of Sidley & Austin confirming that the
statements made in the Prospectus Supplement under the captions
"Certain United States Tax Documentation Requirements" and
"United States Taxation of Non-United States Persons" are correct
